Amending a trade licence in Dubai: activity, name, owners and address

What can be changed on a licence, who approves it and the tax, bank and UBO updates that must follow every amendment.

A Dubai trade licence can usually be amended to add or remove activities, change the company name, change shareholders or managers, or move the registered address. Each change is approved by the licensing authority, and some need an extra regulator's approval. The change then has to be reflected in your tax registrations, UBO filing and bank records.

What can be changed

Licensing authorities, whether the Dubai economic department or a free zone, publish their own amendment procedures and fees. In general, these are the common changes:

  • Adding or removing a business activity.
  • Changing the trade name.
  • Changing the shareholders or the share split.
  • Appointing or replacing the manager or directors.
  • Changing the registered address or the premises.
  • Changing the legal form, such as converting a type of company.

Each authority has its own forms and timelines. Always follow the current procedure of the authority that issued your licence.

Approvals and attestations

A change that affects the memorandum or articles usually needs the shareholders' resolution and an amended constitutional document, signed before an authorised notary or through the authority's e-signing channel. Some activities need an external approval, such as from a sector regulator, before they can be added. Check this before you pay fees, as an unapproved activity cannot be added.

What must follow each change

ChangeFollow-up to consider
New activityVAT and corporate tax registration details, audit scope, bank notification
New nameEmaraTax details, invoices, contracts, bank, VAT certificate wording
New shareholderUBO declaration update, bank KYC, shareholders' register
New addressLease and Ejari, tax records, bank, supplier details
New managerAuthorised signatory list, bank mandate, EmaraTax access

Tax registrations

Update your corporate tax and VAT records in EmaraTax when your legal name, address or contact details change. Keep proof of the change. A mismatch between the licence and the tax record can cause rejected refunds or queries. See the EmaraTax portal guide and the TRN guide.

UBO and ownership filings

Any change in the shareholders or in the persons who control the company affects your beneficial owner records. File the update with the relevant authority within the time it requires. See UBO register requirements and UBO declaration by authority.

Bank and contracts

Banks will ask for the new licence, the amended documents and an updated KYC pack. Tell customers and suppliers about a name or address change before invoices go out in the new name, and update the invoice template so it meets the tax invoice rules. See tax invoice requirements.

Plan the order

  1. Check the authority's current procedure and the approvals needed.
  2. Get shareholder approval and prepare the amended documents.
  3. Submit and pay the licensing authority's fees.
  4. Update tax, UBO, bank and contracts.
  5. Update your accounting software and invoice template.

Adding or removing an activity

An additional activity may change the licence fee, the premises requirement and the approvals. Some activities need a regulator's prior clearance, such as health, education, financial or security-related activities. Others need a qualified manager or a specific certificate. Ask the authority for the checklist before committing to customers, and consider whether the new activity changes your VAT, corporate tax or audit position. A move into a regulated activity is often when a company first needs audited accounts.

A new company name

The name must follow the naming rules and be free. After the change, the legal documents, contracts, bank accounts, tax registrations, invoices, stamp and website all need to be updated. Ask customers and suppliers to update their records. For VAT, show the correct legal name on invoices, since an invoice that does not match the registered name can be challenged. See tax invoice requirements.

Transferring shares

A share transfer needs an agreement between seller and buyer, any consents the constitutional documents require, and registration with the authority. The new share split changes the beneficial ownership record. Price and date matter for tax: gains or losses on a sale may have corporate tax effects for the seller, and the buyer needs a record of cost. Take advice before the signing date. See what is UAE corporate tax.

Changing the legal form

Converting from one form to another, for example a sole establishment to an LLC, is a larger step that may involve a new licence, new contracts and new tax registrations. Treat it as a restructuring and plan the tax effects. See business restructuring relief and types of companies in the UAE.

An update checklist after any amendment

  • New licence copy saved in the corporate file.
  • EmaraTax records and TRN details checked.
  • UBO filing updated where ownership or control changed.
  • Bank notified and KYC refreshed.
  • Contracts, invoices and website updated.
  • Accounting system and chart of accounts updated.

Typical timeline

Simple changes, such as a new manager, may be completed within days, while changes needing external approvals, a new trade name or a change of legal form can take weeks. Ask the authority for a timeline at the start, and avoid committing to customers on the changed licence until it is issued. Remember that fees, attestation and notary steps all add time.

What drives the cost

The cost is the sum of the authority's fees, any external approval fees, notary or attestation costs, and professional fees. A change that moves you into a higher fee band, such as a new activity category, can increase annual licence cost. Ask for the full cost before you start.

Documents often needed

  • Existing licence and constitutional documents.
  • Shareholder resolution approving the change.
  • Passport and Emirates ID copies for new owners or managers.
  • Lease and Ejari for an address change.
  • Approvals from regulators for restricted activities.
