Offshore company formation in the UAE

Offshore company formation UAE gives you a holding and structuring vehicle, not an operating one. No trade licence, no visas, and banking that requires realistic expectations.

A UAE offshore company is a non-resident vehicle for holding assets, owning property in designated areas and structuring international business. It cannot trade inside the UAE, it does not carry residence visas, and banking is materially harder than for a free zone entity. Used for the right purpose it is efficient. Used as a cheap alternative to a real licence, it disappoints.

What offshore company formation UAE gives you

An international business company registered in a UAE offshore jurisdiction — principally RAK ICC and JAFZA Offshore. It has legal personality, can hold assets and open bank accounts, but is not licensed to conduct business within the UAE market.

The critical distinction from a free zone company: a free zone entity has a trade licence, physical presence and visa eligibility. An offshore company has none of these. It is a holding and structuring vehicle, not an operating one.

What offshore company setup in Dubai is genuinely used for

  • Holding shares in UAE and overseas subsidiaries
  • Owning property in designated freehold areas, subject to the developer and authority permitting offshore ownership
  • Holding intellectual property or other intangible assets
  • International trading conducted entirely outside the UAE
  • Estate and succession planning, keeping assets in a single vehicle
  • Joint venture structuring between parties in different jurisdictions

What it cannot do

Offshore company liquidation and deregistration in the UAE
An offshore company cannot trade within the UAE, cannot lease commercial premises for operations, cannot sponsor residence visas, and cannot obtain a UAE trade licence. If any of those matter, this is the wrong vehicle.

We spend a fair amount of time redirecting enquiries here. Founders drawn by the low cost and quick incorporation frequently need an operating entity — and end up forming a free zone company anyway, having paid for both.

Banking is the real constraint

This deserves directness because it is where expectations most often break. See also our guide to offshore and corporate bank accounts in the UAE. UAE banks apply heightened scrutiny to offshore entities, and many will simply decline.

The reasoning is structural rather than prejudicial. Offshore companies have no local substance, no resident staff, no premises and no visas — precisely the profile that compliance functions treat as higher risk. Where an account is opened, expect extensive documentation on ultimate beneficial ownership, source of funds and the commercial rationale for the structure.

Pairing the offshore holding company with an operating free zone entity that has substance and a resident signatory improves the position considerably. Our guide to why corporate accounts get rejected covers what a strong file contains.

Corporate tax and substance

UAE corporate tax applies based on residence and source, and an offshore company is not automatically outside it. Where a company is effectively managed and controlled from the UAE, it can be UAE tax resident regardless of how it is labelled.

Equally, an offshore company cannot realistically satisfy the substance condition for Qualifying Free Zone Person status, because it has no premises, staff or local expenditure. Anyone assuming "offshore" means "untaxed" is working from a pre-2023 understanding that no longer holds.

Where you need treaty access or a Tax Residency Certificate, substance matters even more — see withholding tax and treaty access.

RAK ICC and JAFZA Offshore

  • RAK ICC — the more widely used, with lower cost, faster incorporation and a broad range of permitted holding activities.
  • JAFZA Offshore — higher cost, but historically the route accepted for holding Dubai freehold property in certain developments.

If property ownership is the objective, confirm with the developer and the land department which offshore jurisdictions they accept before incorporating. Acceptance is not universal, and forming the wrong vehicle means starting again.

Formation and ongoing requirements

  1. Purpose assessment — we establish whether offshore is genuinely the right vehicle
  2. Jurisdiction selection based on that purpose
  3. Registered agent appointment — mandatory; offshore companies cannot self-register
  4. Name approval and incorporation documents
  5. Registered office provided through the agent
  6. Bank account, with realistic expectations set beforehand

Annually you will need registered agent and office renewal, accounting records maintained, UBO records kept current, and corporate tax registration and filing where the company falls within scope. Offshore does not mean obligation-free.

Closing an offshore company

Offshore entities still need formal liquidation rather than abandonment. Allowing registration to lapse leaves an unresolved entity attached to its shareholders, which affects future applications and banking.

No. Offshore companies carry no visa eligibility. If you need residence, you need a free zone or mainland entity.

Yes, materially. Many UAE banks decline outright. Where accounts are opened, documentation requirements are extensive and the rationale for the structure is scrutinised.

It is not automatically outside the regime. Residence turns on effective management and control, not on the label attached to the company.

In designated freehold areas, subject to the developer and land department accepting the specific offshore jurisdiction. Confirm before incorporating.

RAK ICC is cheaper and faster for general holding purposes. JAFZA Offshore has historically been the route for certain Dubai property holdings.

No. A free zone company is licensed to operate in or from a zone, while an offshore company holds assets or shares and does not trade in the UAE. See types of companies in the UAE.
