Three legal forms are available: a Free Zone Establishment (FZE) with a single shareholder, a Free Zone Company (FZC) with two or more, and a branch of an existing UAE or foreign company. The choice affects share capital, ownership transfers and how a future investor can come in, so settle it before you file rather than after — and read branch versus subsidiary if a parent company is involved.

What it costs

Fujairah prices below the Dubai zones on licence, facility and visa costs, and the gap widens as you take more space. What it does not do is remove the costs that follow the company rather than the address: corporate tax registration, accounting, and an audit where your position requires one.

Formation process

  1. Settle the activity list and legal form — this drives everything downstream.
  2. Reserve the name and obtain initial approval.
  3. Sign the incorporation documents and lease the facility, whether a flexi-desk, office, warehouse or land plot.
  4. Licence issued, followed by establishment card and visa quota.

  6. Register for corporate tax, and for VAT if you cross the threshold.

Banking from an east coast zone

Be realistic here. UAE banks assess the substance behind the application, and a Fujairah trading company with genuine cargo movements, contracts and a resident signatory is a straightforward file. A Fujairah company with no visible operations and an overseas director is not, regardless of zone.

Corporate tax and the 0% question

A Fujairah free zone licence does not exempt you from UAE corporate tax. Every free zone company registers and files. The 0% rate is available to a Qualifying Free Zone Person on qualifying income, and it is conditional — adequate substance, qualifying activities, the de minimis test, and audited financial statements.

That last condition is the one that catches traders. If you intend to claim 0%, the audit is not optional, and our audit team handles it in-house rather than referring it out.

Annual obligations

  • Licence and facility renewal each year.

For a straightforward trading or service activity with clean documents, a matter of weeks rather than months. Industrial licences, land plots and activities needing external approval take longer, and banking is usually the longest single step.
