Liquidation Report and Final Audit When Closing a UAE Company

Closing a company is a process with set steps, and the liquidator's report and final accounts are central to it. What they contain and what has to be done first.

Based on public legal summariesTake legal advice for your case8 min readUpdated 30 October 2026

When a UAE company is wound up, a licensed liquidator takes charge of the assets and debts, and a final report with audited accounts shows how they were settled. Authorities usually want that report, evidence of creditor notice and tax clearance before they cancel the licence. The exact steps differ for mainland companies and free zones.

The usual sequence

StepWhat happens
1. DecisionShareholders resolve to dissolve and liquidate
2. LiquidatorA licensed liquidator is appointed
3. NoticeCreditors are notified; summaries say 45 days to file claims
4. ClearancesTax, immigration, landlord and other clearances
5. AccountsFinal accounts are prepared and audited
6. DistributionDebts are paid, then remaining assets go to shareholders
7. CancellationThe authority cancels the licence and removes the company

Public summaries link mainland liquidation to the liquidation provisions of the Commercial Companies Law, Federal Decree-Law No. 32 of 2021, and court-led insolvency to the bankruptcy law. Newspaper notice rules are described differently in different sources, so confirm with your licensing authority. See mainland company liquidation and free zone company liquidation.

The liquidator

Sources say the liquidator must be licensed and registered, and cannot be a current or recent auditor of the same company. See liquidator appointment.

What the liquidation report contains

  • Opening balance sheet at the start of liquidation.
  • Assets realised and how.
  • Liabilities settled, with evidence.
  • Costs of liquidation.
  • Distribution to shareholders.
  • Closing position, which should be nil.

Final audit

The final accounts are usually audited by a registered auditor, and the audit report is submitted with the application to cancel the licence, according to public summaries. Some free zones have their own formats. Make sure your auditor is acceptable to the authority; see free zone audit requirements and external audit services.

Tax clearances

Deregister from VAT and corporate tax and file final returns before cancellation. Authorities may refuse to cancel until tax matters are settled. See VAT deregistration and corporate tax deregistration.

Records

Keep accounting records for the period the law requires after closure. See tax record retention.

How long it takes

The notice period alone is long, and clearances and audit add time. Plan for months, not weeks, and start the tax and accounting work first. We do not quote a fixed duration.

Example

A consulting company with AED 80,000 cash and no debts passes a shareholder resolution in January. It appoints a liquidator, publishes the notice, deregisters from VAT and files a final return. Its accountant prepares final accounts to the date of liquidation, the auditor signs, and the liquidator distributes the cash. The authority cancels the licence in the following months.

Mistakes

  • Stopping operations without formal liquidation, leaving fees and fines to build up.
  • Not paying staff dues or gratuity before closure.
  • Skipping tax deregistration.
  • No records for the final accounts.

Next step

Start with a position statement: assets, debts, staff and tax status. See our company liquidation service. For legal questions, take advice from a lawyer.

Staff, landlord and bank

  • Staff: settle salaries, gratuity and leave; cancel visas.
  • Landlord: terminate the lease and Ejari properly; collect clearance.
  • Bank: close accounts after the liquidator's instructions and final transactions.
  • Contracts: notify customers and suppliers; settle or novate contracts.

If the company cannot pay its debts

A solvent liquidation requires the company to pay its debts. If liabilities exceed assets, different rules under the bankruptcy law may apply. Do not distribute cash to shareholders before debts are settled, and take legal advice at the first sign of insolvency.
