DMCC company setup in Dubai

The UAE's most recognised free zone. DMCC company setup starts from around AED 46,780. Worth the premium when counterparties care about jurisdiction - expensive when they do not.

DMCC is the UAE’s most recognised free zone, and it prices accordingly — from around AED 46,780. What you are buying is standing: banks, international counterparties and commodity markets know the name. It also comes with the strictest annual compliance of the mainstream zones, including mandatory audited accounts.

What DMCC company setup actually gives you

  • Recognition — the single most cited reason clients choose it. Counterparties and banks treat a DMCC entity differently.
  • JLT location with real commercial premises available
  • Commodities infrastructure — purpose-built for precious metals, tea, diamonds and energy trading
  • Banking access — DMCC entities generally onboard more smoothly than entities from low-cost zones
  • Mature ecosystem of members, service providers and events

Who it is genuinely right for

International trading and commodities businesses, companies whose counterparties or lenders care about jurisdiction, and businesses that need real office space rather than a desk.

If your reason for choosing DMCC is prestige alone, the numbers rarely justify it. A consultancy invoicing overseas clients gets the same tax outcome from IFZA or Meydan at a quarter of the cost.

The honest test is whether a specific counterparty, bank or market requires it. If yes, it is worth the premium. If not, compare against the alternatives in our free zone comparison before committing.

Cost structure

  • Licence and registration — from around AED 46,780
  • Premises — flexi-desk options exist, but many activities and visa allocations require physical office space
  • Establishment card and visas — on top of the licence
  • Mandatory annual audit — a recurring cost other zones may not impose

Compare on three-year total cost. DMCC’s gap over a low-cost zone widens once the mandatory audit and premises are included, which is exactly why the decision should be driven by need rather than image.

The audit obligation

DMCC requires audited financial statements annually, filed through the member portal within a window tied to your financial year end. This is not optional and it directly affects renewal.

Critically, the audit must be signed by a firm on the DMCC approved auditor register. An audit from a UAE-licensed firm that is not on that register can be rejected at submission — leaving you to commission a second audit under deadline pressure. We are DMCC approved and sign in-house; the detail is in our guides to DMCC approved auditors and the DMCC audit requirements checklist.

Because corporate tax also requires audited statements for Qualifying Free Zone Person status, one properly planned audit satisfies both obligations. See statutory audit services for how we run it.

Formation process

  1. Activity selection — DMCC activity groupings are specific, and premises requirements follow from them
  2. Name reservation and initial approval
  3. Premises selection — flexi-desk, serviced office or fitted unit, depending on activity and visa count
  4. Application and documentation, including attested corporate documents where a company is a shareholder
  5. Licence issuance
  6. Establishment card, then visa guidance per employee
  7. Bank account — generally smoother than from a low-cost zone, but still requires a properly prepared file

Documents required

  • Passport copies for all shareholders and the manager
  • Passport photographs on a white background
  • UAE visa page and Emirates ID where applicable
  • Proof of address
  • No Objection Certificate where holding a UAE employment visa
  • For corporate shareholders: attested certificate of incorporation, memorandum, register of directors and a board resolution
  • Business plan for certain regulated or higher-risk activities

Attestation of foreign corporate documents takes weeks. Where a corporate shareholder is involved, start that before anything else.

Corporate tax position

DMCC entities sit inside the UAE corporate tax regime and can access 0% only as Qualifying Free Zone Persons — meeting substance, qualifying income, de minimis and audit conditions.

DMCC’s requirement for real premises and staff often helps on the substance test, which is a genuine if under-discussed advantage over flexi-desk zones. It does not help on qualifying income: selling to mainland UAE customers remains non-qualifying regardless of which zone you sit in.

The renewal cycle in practice

DMCC renewal is where planning pays off, because the audit sits on the critical path. Working backwards from a 31 December year end:

  • January to March — close the year, reconcile bank and VAT, finalise the trial balance
  • March to May — audit fieldwork and signed financial statements
  • Before renewal — portal submission with audited accounts in hand
  • By 30 September — corporate tax return filed using the same audited figures

Companies that leave the audit until weeks before renewal end up paying for speed and risking rejection. The audit that serves renewal also serves the tax return — run it once, early.

DMCC and the substance test

Substance is one of the five Qualifying Free Zone Person conditions, and DMCC entities are often better placed than flexi-desk companies elsewhere.

Where you hold real premises, employ staff locally and incur genuine operating costs in the zone, the substance condition is satisfied by how you actually operate rather than by argument. That is a real advantage, though it is often left out of cost comparisons that look only at the licence fee.

Qualifying income remains a separate test. A DMCC entity selling to UAE mainland customers has the same problem as one in any other zone.

When DMCC is the wrong answer

Being direct about this saves clients money. DMCC is usually not worth the premium for a solo consultant invoicing overseas clients, a small e-commerce operation, an early-stage business testing a market, or any company whose customers will never ask where it is licensed.

In those cases IFZA or Meydan delivers an identical corporate tax outcome at a fraction of the annual cost. We will tell you that rather than sell you the more expensive licence.

Frequently asked questions

Is DMCC worth the premium over a cheaper freezone?

If your bank, your clients or your investors will look at your address, usually yes. If nobody looks, you are paying for something you will not use and a lower-cost freezone delivers the identical tax outcome.

From around AED 46,780, before premises, visas and the mandatory annual audit. Compare on three-year total cost rather than the licence alone.

Yes. Audited financial statements are required annually and filed through the member portal within a window tied to your financial year end.

No. The firm must be on the DMCC approved auditor register. An audit from an unapproved firm can be rejected at submission.

It depends on activity and visa allocation. Flexi-desk options exist, but many activities and larger visa counts require real premises.

Only if recognition, commodities infrastructure or banking access genuinely matter to your business. For a consultancy invoicing overseas, the tax outcome is identical at a quarter of the cost.

Indirectly. Real premises and staff support the substance condition better than a flexi-desk arrangement, though qualifying income is assessed separately.
