Which UAE free zones require an audit — and what happens if you skip it

Most companies discover their free zone audit requirements about four weeks before renewal, with eleven months of unreconciled bookkeeping behind them. It is an avoidable emergency.

Whether your free zone requires an audit is a question with a specific answer, and it is worth knowing yours well before renewal season. Here is the current picture, what happens if you ignore it, and why the zones that do not require one are not necessarily letting you off.

Free zone audit requirements by zone

Several major free zones require audited financial statements to be filed each year as a condition of licence renewal. DMCC, DAFZA, JAFZA and SHAMS are among them.

Others do not mandate an audit at renewal. That list changes, and zones have tightened rather than loosened requirements in recent years — so treat any list, including this one, as a prompt to confirm with your own zone rather than as a settled answer.

If you are choosing a zone now, ask the question before you commit. It is a recurring annual cost that rarely appears in the package comparison you are shown at the point of sale.

What actually happens if you skip it

Where the audit is mandatory, licence renewal is held until it is filed. That sounds like an administrative inconvenience. It is not.

An expired trade licence puts your establishment card at risk, which puts visa renewals at risk, which puts your employees' residency at risk. Banks review licence validity and may restrict an account attached to a lapsed entity. Customers with procurement processes will ask for a valid licence before renewing a contract.

The audit is a two-week problem if handled on time and a three-month problem if handled at renewal.

Why "not mandatory" is not the same as "not needed"

Even where your zone does not require it, audited accounts are frequently requested by:

  • Banks — at account review, when increasing facilities, or when transaction volumes rise above the profile you originally declared.
  • The Federal Tax Authority — during a corporate tax or VAT assessment, where audited statements carry substantially more weight than management accounts.
  • Investors and acquirers — no serious buyer relies on unaudited numbers, and producing three years of audits retrospectively during a deal is both expensive and damaging to your negotiating position.
  • goAML compliance and tender applications — several routes require auditor-certified figures.

What drives the cost

Audit fees are driven almost entirely by the state of your records, not by your revenue.

A company with clean monthly bookkeeping, reconciled banks and a tidy fixed asset register is a review exercise. A company handing over twelve months of bank statements and a shoebox of invoices is a reconstruction exercise, and it is charged accordingly — often two to three times more.

This is the strongest financial argument for keeping proper books through the year rather than compressing it into January. The bookkeeping is not an extra cost on top of the audit; it substantially reduces the audit.

A sensible annual rhythm

  • Monthly — post transactions, reconcile banks, file supporting documents
  • Quarterly — management accounts and a review of anything unusual
  • Within 6 weeks of year end — close the books and hand over to audit
  • Within 4 months of year end — audit signed, well ahead of both the renewal date and the corporate tax filing deadline

Working to that rhythm, the audit stops being an event.

Frequently asked questions

DMCC, DAFZA, JAFZA and SHAMS are among the zones that require audited financial statements for annual licence renewal. Requirements change, so confirm with your specific zone each year rather than relying on what was true when you incorporated.

Where the zone mandates it, licence renewal is typically held until audited statements are filed. That can cascade — an expired licence puts visa renewals, bank account status and customer contracts at risk.

No. The audit must be signed by an auditor licensed to practise in the UAE, and many zones maintain an approved auditor list. Using a firm not on that list means the submission is rejected.

It depends on transaction volume and the state of the underlying records. A company with clean monthly bookkeeping is far cheaper to audit than one handing over a year of unreconciled bank statements — often by a factor of two or three.
